The software ("the Software") is developed and licensed by Manuel de Prada Corral, an individual sole trader based in Switzerland (the "Developer"). Contact: eu (at) manueldeprada (dot) com.
Payments for the Software are processed by an independent merchant of record (currently Paddle.com Market Limited, or a comparable third-party checkout provider). The merchant of record handles the sale, charges applicable taxes, issues invoices, and processes refunds on the Developer's behalf. Your payment relationship is governed by the merchant of record's own terms in addition to these terms.
Subject to your acceptance of these terms and payment of the applicable fee (or use within the free trial), the Developer grants you a non-exclusive, non-transferable, worldwide licence to install and use the Software on any Apple-branded Mac signed in to your personal Apple Account (formerly known as your Apple ID), for any lawful purpose - personal or commercial.
There is no fixed device limit: every Mac on your Apple Account is covered by the same licence. Sharing your licence key with users outside your Apple Account, or with anyone else, is not permitted.
A one-time licence includes free updates for the lifetime of the product. "Lifetime" means as long as the Developer continues to maintain the product. The Developer makes no guarantee about future development or how long the product will remain maintained, and reserves the right to discontinue any product. If a product is discontinued, your existing installation will keep working under its current licence; you are not entitled to a refund of a past purchase on the grounds of discontinuation.
For subscription tiers (where offered), access to the subscription features remains active for as long as the subscription is paid. Once a subscription ends, the local features previously available under the one-time licence remain available; the subscription-only features cease.
velun is a desktop client app for macOS that connects to VPN gateways operated by the customer's employer, educational institution, or other third party. velun is not a VPN service - the Developer does not host, operate, proxy, or relay any network traffic, and does not provide VPN credentials. The customer brings credentials they have independently obtained from the operator of the VPN gateway they wish to connect to.
Minuter is a desktop app for macOS that records the user's local audio, transcribes it, and produces written minutes. By default all processing runs locally on the user's Mac using open-source models. The optional cloud-processing subscription tier transmits audio over TLS to a relay server operated by the Developer, from which it is processed by a worker running on the Developer's own private GPU server in Switzerland using open-source local models. The audio is not sent to any third-party AI provider. Audio and intermediate results are deleted from the relay after the job is delivered, as described in the Privacy Policy.
You agree not to:
The Software may include or rely on third-party open-source components. A list of those components and their respective licences is included with the application or available on request. Those components are licensed to you on their own terms; nothing in this agreement overrides them.
The Software is provided "AS IS", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by applicable law. The Developer does not warrant that the Software will be uninterrupted, error-free, or compatible with any specific corporate VPN gateway configuration.
Nothing in these terms excludes or limits any rights you may have under applicable consumer-protection law that cannot be excluded by contract (for example, statutory rights of EU consumers).
To the maximum extent permitted by applicable law, the Developer's total liability arising out of or relating to these terms or the Software is limited to the amount you actually paid for the relevant licence in the twelve months preceding the event giving rise to the claim. The Developer is not liable for indirect, incidental, special, consequential, or exemplary damages, including loss of profits or data.
This limitation does not apply to liability that cannot be excluded under applicable law (for example, liability for fraud or for death or personal injury caused by negligence).
This licence terminates automatically if you materially breach it. On termination, you must stop using the Software and remove all copies from your devices. The "Refunds" and "Limitation of liability" sections survive termination.
The Developer may update these terms from time to time. The current version is always available at this URL with the "Effective" date above. Material changes will be announced via the changelog inside the app or on the storefront. Continued use of the Software after the effective date of an update constitutes acceptance of the new terms.
These terms are governed by the substantive laws of Switzerland, without regard to its conflict-of-laws principles. The ordinary courts of the Canton of Zurich, Switzerland have jurisdiction over any dispute arising out of or relating to these terms, subject to any mandatory rights you may have to bring proceedings in your country of residence under applicable consumer law.
